These Terms and Conditions govern the sale of goods by Zel Components Ltd to business customers through our website. By placing an order, you agree to be bound by these Terms.

• “Contract” refers to the agreement between the Company and Customer

2. Business Customers Only

These terms apply exclusively to business-to-business (B2B) transactions. Consumers (individuals buying for personal use) are not eligible to purchase from this website.

3. Orders & Acceptance

• All orders are subject to acceptance and availability.
• A Contract is formed only when the Company issues an Order Confirmation.
• The Company reserves the right to reject or cancel orders at its sole discretion.

4. Pricing & Payment

• All prices are shown exclusive of VAT unless otherwise stated.
• Prices are subject to change without prior notice.
• Payment must be made in full before dispatch, unless otherwise agreed in writing.
• We accept payments via secure online checkout, bank transfer, and major credit/debit cards.

5. Delivery

• Delivery dates are estimates and not guaranteed.
• The Company shall not be liable for delays caused by courier services, customs, or force majeure events.
• Risk passes to the Customer upon dispatch; title passes upon full payment.
• Delivery is to the address specified at checkout unless otherwise arranged.

6. Returns & Refunds

• Returns must be requested within 14 days of delivery and authorised in advance.
• Goods must be returned in original, unused condition.
• A restocking fee of 15% may apply to non-faulty returns.
• Custom, special-order, or EOL products are non-returnable unless faulty.

7. Warranties

• Goods are warranted to conform to manufacturer specifications at the time of delivery.
• No other warranty is provided unless explicitly agreed in writing.
• The Company accepts no liability for indirect loss or damage (loss of profit, business, etc.).

8. Limitation of Liability

• Our total liability for any claim shall not exceed the price paid for the relevant Goods.
• The Company shall not be liable for consequential or indirect losses, delays, or lost profits.

9. Force Majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to strikes, supplier delays, transport issues, natural disasters, or pandemics.

10. Intellectual Property

All product images, content, trademarks, and website materials remain the intellectual property of the Company or its licensors. Use without permission is prohibited.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

12. Amendments

We reserve the right to update these Terms at any time. Customers should review the Terms prior to each order.
